Mary Ann Dunham is a Shareholder in the Pittsburgh office of Buchanan, where she serves as co-leader
of the firm’s Security Alarm, Fire and Medical Alert practice group, overseeing the delivery of
legal services in those industries to companies of all sizes (startup to SDM Top 5). Mary Ann provides
counsel on various matters, including company formations, sales, acquisitions, joint ventures and
financings. She routinely negotiates deal terms and drafts the related transaction documents (purchase
agreements, noncompete agreements and loan agreements). Mary Ann counsels companies well in
advance of a sale, helping them get their house in order, including quarterbacking teams of specialists
within the firm to address employment, tax, cybersecurity, privacy, licensing and intellectual property
issues. She also works with family offices and other equity sponsors to build their platform companies
from the ground up. Mary Ann has extensive experience with family-owned businesses, managing
the challenges they frequently face. She understands her clients’ businesses and is practical and cost-efficient with legal advice. Since 2010, she has also served on the Board of Directors of a family-owned
manufacturing company. As a result, she has first-hand experience in strategic decision-making, which
helps a company grow. Mary Ann is a graduate of Union College and Boston College Law School.
